Welcome to CLO TradeHub (“Platform”, “we”, “our”, “us”).
These Terms of Service (“Terms”) govern your access to and use of the CLO TradeHub website, services, and any related tools or applications (collectively, the “Services”).

By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. DEFINITIONS

• “CLO TradeHub” refers to the wholesale and trade marketplace operated under The Lush Space.
• “User” refers to any individual or entity accessing or using the Platform.
• “Brand / Supplier / Distributor” refers to entities listing products or services on the Platform.
• “Retailer / Reseller” refers to approved businesses purchasing products for resale.
• “Trade Account” refers to an approved wholesale or partner account.
• “Content” includes all text, images, product data, pricing, trademarks, and materials displayed on the Platform.

2. ELIGIBILITY & ACCOUNT REGISTRATION

2.1 The Platform is strictly for business use.

Retailers, resellers, brands, and distributors must:

• Operate a legitimate business
• Provide valid company information
• Maintain an active website, marketplace store, or social commerce presence

2.2 All registrations are subject to approval at CLO TradeHub’s sole discretion.

2.3 We reserve the right to:

• Approve or reject any application without obligation to provide reasons
• Suspend or terminate accounts found to provide false or misleading information

3. ACCOUNT RESPONSIBILITIES

3.1 Users are responsible for:

• Maintaining the confidentiality of login credentials
• All activities conducted under their account

3.2 You must promptly notify us of any unauthorised use or security breach.

3.3 CLO TradeHub shall not be liable for any loss arising from unauthorised account access caused by User negligence.

4. PLATFORM USE & CONDUCT

Users agree not to:

• Misuse trade pricing or confidential information
• Engage in price dumping or unauthorised resale channels
• Copy, scrape, or redistribute Platform data without permission
• Circumvent approval, pricing, or access controls

Violation may result in immediate suspension or termination.

5. PRODUCT LISTINGS & PRICING

5.1 Brands and suppliers are responsible for the accuracy of product information, including:

• Descriptions
• Pricing
• Compliance requirements
• Certifications (where applicable)

5.2 CLO TradeHub reserves the right to:

• Edit, reject, or remove listings
• Enforce pricing protection policies
• Suspend listings that harm marketplace integrity

5.3 Displayed trade prices are confidential and must not be disclosed publicly.

6. ORDERS, PAYMENTS & FEES

6.1 All orders placed through the Platform are binding once confirmed.

6.2 CLO TradeHub may charge:

• Platform fees
• Listing fees
• Transaction fees
• Marketing or promotional fees
  (as agreed separately or displayed on the Platform)

6.3 Payment terms, currency, and settlement timelines may vary by partner and region.

6.4 CLO TradeHub is not responsible for:

• Bank delays
• Customs duties
• Taxes imposed by local authorities

7. SHIPPING, RETURNS & DISPUTES

7.1 Shipping responsibilities will be defined by the supplier or distributor.

7.2 CLO TradeHub is not liable for:

• Delivery delays
• Lost shipments
• Customs clearance issues

7.3 Return, refund, or exchange policies are governed by:

• Supplier-specific terms
• Separate written agreements (if any)

8. MARKETING & PROMOTIONAL SERVICES

8.1 CLO TradeHub may offer optional marketing services including:

• PR drops
• Affiliate activations
• Featured placements
• Content or influencer support

8.2 Performance outcomes are not guaranteed unless explicitly stated in writing.

8.3 Marketing services are governed by separate agreements or addendums.

9. INTELLECTUAL PROPERTY

9.1 All Platform content, branding, structure, and systems are the property of CLO TradeHub or its licensors.

9.2 Users grant CLO TradeHub a non-exclusive, royalty-free license to use submitted content for Platform and marketing purposes.

9.3 No rights are transferred unless explicitly stated in writing.

10. CONFIDENTIALITY

10.1 All trade pricing, partner data, and commercial terms are confidential.

10.2 Users must not disclose or misuse confidential information obtained via the Platform.

11. TERMINATION & SUSPENSION

CLO TradeHub may suspend or terminate access:

• For breach of these Terms
• For conduct damaging to the marketplace
• Without notice where necessary to protect the Platform

Termination does not affect accrued rights or outstanding obligations.

12. DISCLAIMER & LIMITATION OF LIABILITY

12.1 The Platform is provided “as is” and “as available.”

12.2 CLO TradeHub does not guarantee:

• Continuous availability
• Error-free operation
• Commercial success or profitability

12.3 To the maximum extent permitted by law, CLO TradeHub shall not be liable for:

• Indirect or consequential losses
• Loss of profits, data, or business opportunities

13. INDEMNITY

Users agree to indemnify and hold harmless CLO TradeHub from any claims, losses, or damages arising from:

• Breach of these Terms
• Misuse of the Platform
• Violation of laws or third-party rights

14. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Singapore.

Any disputes shall be subject to the exclusive jurisdiction of the Singapore courts, unless otherwise agreed in writing.

15. CHANGES TO TERMS

CLO TradeHub reserves the right to update these Terms at any time.
Continued use of the Platform constitutes acceptance of the updated Terms.
