WHOLESALE TERMS

These Wholesale Terms apply to all approved retailers, resellers, brands, distributors, and trade partners (“Trade Partners”) purchasing or listing products through CLO TradeHub.

By placing an order or maintaining a Trade Account, you agree to the following terms.

1. ELIGIBILITY & APPROVAL

1.1 Wholesale access is available only to approved trade accounts.
1.2 CLO TradeHub reserves the right to approve, reject, or revoke trade access at its discretion.
1.3 Approval is granted based on business suitability, sales channels, and alignment with brand positioning.

2. ORDERING & MINIMUMS

2.1 Minimum Order Quantities (MOQ) or Minimum Order Amounts (MOA) may apply and will be stated clearly on the Platform or in product listings.
2.2 Orders placed are considered final and binding once confirmed.
2.3 CLO TradeHub reserves the right to decline or adjust orders that do not meet trade requirements.

3. PRICING & PAYMENT TERMS

3.1 All trade prices are confidential and strictly for approved trade use.
3.2 Payment terms (e.g. prepaid, NET terms) will be communicated prior to order confirmation.
3.3 Orders will not be processed until full payment is received, unless otherwise agreed in writing.
3.4 Prices are subject to change without prior notice.

4. SHIPPING & DELIVERY

4.1 Shipping arrangements, fees, and timelines vary by supplier or distributor.
4.2 Delivery timelines provided are estimates only and not guaranteed.
4.3 CLO TradeHub is not responsible for delays caused by customs clearance, logistics partners, or force majeure events.

5. RETURNS, DAMAGES & CLAIMS

5.1 All claims for damaged or incorrect items must be reported within 48 hours of delivery with supporting photos.
5.2 Returns are subject to supplier-specific policies and approval.
5.3 Opened, used, or clearance items are generally non-returnable unless defective.

6. RESELLING & CHANNEL RESTRICTIONS

6.1 Products purchased through CLO TradeHub are intended for resale through approved channels only.
6.2 Resale on unauthorised marketplaces or platforms may result in account suspension.
6.3 Trade Partners must not misrepresent brand ownership or authorised distributor status.

7. MARKETING & BRAND USAGE

7.1 Trade Partners may use brand assets solely for the purpose of promoting purchased products.
7.2 All marketing materials must align with brand guidelines (where provided).
7.3 CLO TradeHub reserves the right to request removal of misleading or inappropriate marketing content.

8. SUSPENSION & TERMINATION

8.1 CLO TradeHub reserves the right to suspend or terminate trade accounts for:

• Breach of these Wholesale Terms
• Pricing violations
• Conduct that harms brand or marketplace integrity

8.2 Outstanding payments remain payable upon termination.

9. GOVERNING LAW

These Wholesale Terms are governed by the laws of Singapore.
